Customer Consultant Enrolment

• This agreement is between the Customer Consultant (hereinafter referred to as ‘C.C.’) and AMC India Direct Selling Pvt. Ltd. (hereinafter referred to as ‘the Company’), a Company registered under Companies Act, 1956.

The Customer Consultant agrees as below:

• Confidentially Clause: Your consultancy with the Company creates a relationship of confidence and trust between you and the Company with respect to certain information of a confidential, proprietary or trade secret nature. All such confidential, proprietary or trade secret information will be referred to as “Proprietary Information” and includes, without limitations, marketing and sales plans, product development plans, competitive analyses, business and financial plans or forecasts, and customer and employees list of Company. At all times, both during and after your consultancy with the Company, you will hold Proprietary Information in confidence. You will not use, transfer, publish, disclose, or report Proprietary Information directly or indirectly, expect such disclosure as may be necessary in the ordinary course of performing your duties for the Company or otherwise as directed by the Company.
• Non-Competitive clause: You will not take up employment/ consultancy or engagement directly or indirectly with any Company or any other kind of Organization, selling similar products or with a product range similar to the product range of the Company whether remunerated or not, for a period of one year after having left the Company, in the event of your failure to observe this condition, you shall be liable to pay to the Company an amount equivalent to one year’s gross earnings including commission and incentives, that shall be computed on the basis of average gross earnings eared by you during the last 13 periods of your consultancy or for the period of consultancy, where such period is less than 13 periods (twelve months). You shall pay the said amount to the Company within a period of one week of your cessation of consultancy. Without prejudice to the above, the Company reserves the right to recover the above amount from the final settlement or any other amount that may be payable or due to you. Not to display or sell AMC Cookware or product literature in any retail shop. C.C will not use the AMC Party as a forum to sell any product other than what is being sold by AMC.
• To present and claim facts alone concerning AMC Cookware and its after-sales policies like warranty terms etc. as in force from time to time.
• To promote the sales of AMC Cookware by organizing AMC parties. The C.C. shall receive a sales commission from the Company for all the sales done by him/ her, as per the prevailing schemes.
• That the C.C. is not an employee of AMC Cookware “nor” is there a partnership being created by the parties through this agreement. The customer consultancy assignment of the C.C. is transferable to any branch of AMC India Direct Selling Private Limited.
• That the C.C. is not authorized to incur any debt, commitment, obligation etc. on behalf of AMC India Direct Selling Pvt. Ltd. Only the prices prevailing as per the price list can be quoted. The C.C. is also strictly prohibited from parting with his commission and offering the same discounts to the customers.
• That the C.C. is responsible for any payment collected from the customers until the same has been remitted to the Company and an appropriate receipt has been received for doing so. If any such payment collected from the customer on behalf of the Company has been used or misused, the C.C. will make good the loss immediately.
• The C.C. agreed to meet the expenses incurred by conducting an AMC party such as amount incurred on travel, purchasing of ingredients like vegetables, meat, etc. required for each AMC party and the Company will not reimburse any such expenses.
• The C.C. has not been given any exclusive rights to operate in a particular territory; however, the C.C. along with the other customer consultants can operate anywhere in the city covered by the Branch’s operations, to which he is attached.
• The promotional material/ stationery, Identity card, issued to a C.C. is the Company’s property and it is not transferable to any other C.C. All this should be returned to AMC Branch at the time of resignation or termination from the services. A sale done by one C.C. cannot be transferred to another C.C. for the purpose of qualifying for incentive/ promotions. If a C.C. is found indulging in any such transactions, both the transferor and transferee will be terminated immediately.
• The C.C. agrees that the AMC Customer consultancy is not transferable to any third party. It is understood that this consultancy arrangement is directly with AMC personally. The C.C. is prohibited from engaging any third party to do the AMC customer consultancy on his/ her behalf.
• The C.C. understands that he/she will not use his status as AMC Customer consultant for selling or recruiting AMC consultants or customers in to any other direct selling company with whom he may be associated.
• The C.C. will receive a starter kit from AMC at the time of enrollment.
• Not withstanding anything to the contrary herein contained, it is understood that the Company reserves the rights to terminate this consultancy arrangement at any time without assigning any reason whatsoever.

AMC India Direct Selling Pvt. Ltd. agrees as under:

• Subject to availability of stock, the Company agrees to supply the goods booked by the consultant directly to the customer and pay the commission earned by the respective C.C. within the duration mentioned as per procedure governing them. The Company agrees to train and provide the C.C. with all support required to effectively promote the sales of AMC Cookware.
• This agreement becomes effective from the date of the acceptance of the letter overleaf. The Company reserves the right to alter any clause mentioned above with a written note to the effect.
